These terms and conditions (“Terms”) govern the Happiest Baby Refer-a-Friend Program (the “Program”) offered by Happiest Baby, Inc. (“HBI”), located at 11390 W. Olympic Blvd., Los Angeles, CA 90064, USA.

By participating in the Program, you (“Referrer”) are subject to these Terms, as well as HBI’s terms of service located at legal.happiestbaby.com/terms-of-service and HBI’s privacy policy located at legal.happiestbaby.com/privacy-policy. You agree to accept the decisions of HBI as final and binding as they relate to your eligibility for receiving the referral reward described below.

PROGRAM PARTICIPATION. To be eligible for participating in the Program, Referrers must (i) be individuals residing in the United States of America and (ii) be eighteen (18) years of age or older. Referrer who is fully compliant with these terms may receive "Referral Reward" for "Qualified Referral” as defined below.

QUALIFIED REFERRALS. “Qualified Referral” means a referral which meets each of the following conditions:


  1. The Referrer received a notification from HBI they are authorized to offer their friends a discount code (“Friend Discount Code”) on HBI’s products purchased online at happiestbaby.com. 
  2. The Referrer shared the Friend Discount Code with their friend (“Referred Customer”) via email, social media or mobile message.
  3. The Referred Customer used the Friend Discount Code for an online order of $199 or more on happiestbaby.com. 
  4. The follow products are excluded from advocate rewards: 

REFERRAL REWARD. Referrer will receive a referral gift card (“Referral Discount Code”) for each Qualified Referral. Referral Discount Code will be equivalent to the Friend Discount Code and will be valid for online purchases on happiestbaby.com. Referral Discount Code is provided after the Referred Customer’s order is fulfilled, unless in the case that the Referred Customer ordered a SNOO Rental, in which case the Referral Discount Code will be provided after the Referred Customer begins the second month of rental. Referral Discount Code has no cash or other substitution value.

NO SPAM. You must comply with CAN-SPAM Act and all other laws governing email communications when you share your Friend Discount Code.  Any distribution of your referral link that could constitute unsolicited commercial email or "spam" under any applicable law or regulation is expressly prohibited and will be grounds for immediate exclusion from the Program.

RELEASE AND LIMITATION OF LIABILITY: By participating in the Referral Program, you agree to release and hold harmless HBI and its subsidiaries, affiliates, advertising and promotion agencies, agents, successors, assigns, employees, officers, and directors and related entities from any liability or claims or actions of any kind arising out of or in connection with your participation in the Program, including violation of any email marketing laws and regulations.

CHANGES, TERMINATIONS AND REMOVAL FROM PROGRAM. HBI may, in its sole discretion, alter, limit, or modify these Terms, and any Program features (including assigning any of its obligations to customers under the Program at any time to another person or entity, without recourse) or may terminate the Program any time at its sole discretion, by posting any such changes on the HBI website.

HBI reserves the right to exclude individuals from the Program or invalidate Referral Discount Codes from a participant’s account in its sole but reasonable discretion. In particular, any abuse, manipulation or "gaming" of the Program or its rules (as determined by HBI), failure to follow any terms of the Program, any misrepresentation or any conduct detrimental to the interests of HBI not otherwise protected by law may subject Program participants to revocation or deduction from Referral Discount Codes obtained through these abusive or manipulative activities and will affect eligibility for further participation in the Program. HBI reserves the right to make changes to its website and these Terms at any time. It is your responsibility to check or review these Terms from time to time to keep informed of any changes. By joining the Program, you hereby agree to be bound by any such changed Terms.

FORCE MAJEURE: HBI shall have no liability for any delay or failure of performance of any of HBI’s obligation under these terms resulting directly or indirectly from acts of God, governmental action, acts of terrorism, natural disasters, pandemics, earthquake, fire, flood, insurrections, labor conditions, power failures, and Internet disturbances or any other cause beyond HBI’s reasonable control. 

GOVERNING LAW/JURISDICTION: All disputes arising from the Program shall be governed by the laws of the state of California without giving effect to any choice of law/conflict of law doctrines. Subject to the arbitration clause below, all disputes arising from this Program shall be resolved in the exclusive venue of state and federal courts sitting in the County of Los Angeles, California. By participating in the Program, you consent and submit to the exclusive personal jurisdiction of such courts, including for entry of judgment on any arbitration award.  Except to the extent prohibited by applicable law, you agree and acknowledge that any claim or cause of action arising out of or related to participation in the Program, or these terms, must be filed within one (1) year after such claim or cause of action arose or be forever barred.

ARBITRATION AND WAIVER: By participating in the Program, you (i) waive the right to trial by jury and the ability to participate in a class action; (ii) agree that all claims related to the Program (collectively, “Claims”) will be will be resolved by confidential arbitration administered by Judicial Arbitration and Mediation Services in Los Angeles County and conducted before a sole arbitrator; and (iii) waive the right to seek attorney’s fees, indirect, punitive, incidental and consequential damages and any other damages (other than actual out-of-pocket expenses) and any all rights to have damages multiplied or otherwise increased, and the arbitrator will have no authority to award such damages. The arbitrator will follow California law in adjudicating the dispute without regard to conflict of law/choice of law doctrines.  You and HBI acknowledge and agree that we are each waiving the right to participate as a plaintiff or class member in any purported class action lawsuit, class-wide arbitration, private attorney-general action, or any other representative proceeding as to all disputes between us.  The arbitrator may not consolidate more than one party’s claims and may not otherwise preside over any form of any class or representative proceeding. The arbitrator’s decision will include the essential findings and conclusions upon which the arbitrator based the award. Judgment on the arbitration award may be entered in any court with proper jurisdiction. The arbitrator may award declaratory or injunctive relief only on an individual basis and only to the extent necessary to provide relief warranted by the claimant’s individual claim. This arbitration section will survive any termination of these terms.

GENERAL TERMS. HBI reserves the right to make changes to these terms from time to time. Please ensure that you have read and agreed with HBI’s most recent terms when participating in the Program.  The invalidity or unenforceability of any provision of these Terms shall not affect the validity or enforceability of any other provision. In the event that any provision is determined to be invalid or otherwise unenforceable, these Terms shall otherwise remain in effect and shall be construed in accordance with their terms as if the invalid provision were not contained herein.
